2. CORPORATE GOVERNANCE IN JAPAN: A FUTURE SCENARIO

I just finished writing this invited paper for the January
2000 issue of Japan's Security Analysts Journal. English

3. SHAREOWNER PROPOSAL CAMPAIGN UPDATE

The company-paid voting advice proposal has been submitted to
nine firms so far -- see http://www.corpmon.com

We expect most target companies to send legal arguments to
the SEC soon, trying to enable management to omit the
proposal from the proxy material mailed to shareowners in
spring 2000. We will send counterarguments, and the SEC will
decide. Stay tuned.

The Corporate Monitoring Bulletin was created in November 1999 for those subscribers to the Corporate Monitoring Newsletter who wanted more frequent updates. But finding this need was not strong enough to justify the additional publication, the Bulletin was discontinued in October 2000.
